Terms of Service
These Terms of Service ('Terms') govern your use of HurTech LLC's website and services. By accessing our website or engaging our services, you agree to these Terms.
Services
HurTech LLC provides custom software development, staff augmentation, and technology consulting services. Specific service terms, deliverables, timelines, and pricing are defined in individual Statement of Work (SOW) or Service Agreement documents executed between HurTech and the client.
Intellectual Property
Upon full payment of all fees, all work product, source code, designs, and deliverables created specifically for a client engagement become the exclusive property of the client. HurTech retains ownership of pre-existing tools, frameworks, libraries, and methodologies used in delivery. We grant clients a perpetual, royalty-free license to use any retained HurTech IP embedded in deliverables.
Confidentiality
Both parties agree to maintain strict confidentiality of all non-public information shared during an engagement. HurTech employees and contractors sign binding confidentiality agreements. We sign mutual NDAs with clients before any technical discussions and maintain confidentiality obligations for a minimum of 3 years after engagement end.
Payment Terms
Payment terms are defined in individual service agreements. Generally: fixed-price projects follow milestone-based payment schedules; staff augmentation is invoiced monthly in advance; overdue invoices accrue interest at 1.5% per month. HurTech reserves the right to suspend services for accounts more than 30 days overdue.
Limitation of Liability
To the maximum extent permitted by law, HurTech's total liability for any claims arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. HurTech is not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits or data.
Governing Law
These Terms are governed by the laws of the State of Wyoming, United States. Any disputes shall be resolved through binding arbitration in Sheridan County, Wyoming, except where prohibited by applicable law.
